GENERAL TERMS AND CONDITIONS OF SALE
Acceptance
Glycobiotech GmbH accepts order by Buyer only after Buyer's consent to the terms and conditions contained herein, whether additional to or different from those in Buyer's purchase order or any other form or document heretofore or hereafter supplied by Buyer to Glycobiotech GmbH. Glycobiotech GmbH objects to any terms or conditions proposed by Buyer that are in addition to or different from those contained herein and hereby rejects any such Buyer proposal.
Prices
All prices are listed in EURO sales and excise taxes excluded. Prices are subject to change without notification.
Payment Terms
Invoices are due net 20 days in EURO (€) or USD ($) at the exchange rate of the day when the invoice was issued. Current product prices will be confirmed at the time your order is placed. Prices for handling and shipping are listed in detail according to your instruction at the end of the order form. Payment is to be made by international banking transfer to the international bank account indicated on the invoice. If you prefer to pay by bank order checks we accept these in EURO (€) or USD ($) mailed to the address as listed on the invoice; in this case we charge you with additional 20.00 EURO (25.00 USD). Overdue invoices shall bear interest at the rate of 1 % per month. Buyer agrees to pay all Glycobiotech GmbH's costs of collection hereunder, including attorneys' fees. Within Europe we add Germany's legal value added tax (VAT, currently 19 %) unless you submit a validated VAT identification number for the recipient of the invoice.
Shipping
Shipments are made within Europe by regular mail (unless you explicitly desire shipment by courier services; shipment outside Europe is done by FEDEX.
Custom clearance
Buyer is responsible to clear customs in the respective country. Please provide us with any documents you may need for import of our reagents. Any costs arising after leaving Germany are paid by buyer.
Use of our products
Products from Glycobiotech are produced for laboratory research purposes only and are not to be used for any other purposes, in particular not for use in in-vitro diagnostic purposes, in foods or food additives, drugs, agricultural or pesticidal products, medical devices or cosmetics for humans or animals or for commercial purposes. Buyer knows that products from Glycobiotech have not been tested for safety and efficacy in food, drug, medical device, cosmetic, commercial or any other use. Buyer assures Glycobiotech GmbH to defend and hold Glycobiotech GmbH harmless from and against any and all losses, damages, and expenses whatever or however caused, arising from any use by Buyer of the product; and Buyer assumes all risks and liabilities resulting from the use of the products whether used singly or in combination with any other products.
Toxicity and Hazards
Each product offered by Glycobiotech GmbH is intended for use by qualified professionals who are familiar with their potential hazards and trained in good laboratory practice. Information pertaining to the potential hazards of our chemicals is provided on our labels and in our Product Data Sheets. The absence of a warning, however, must not be interpreted as indication of safety since possible hazards of our compounds may be unknown so far. The ultimate responsibility for the proper handling of our products lies with the user. All goods are sold by Glycobiotech GmbH under the condition that liability for any injury, loss, or damage whatsoever to persons or real property resulting from the handling or use of the goods lies with the user. With the acceptance of our goods the Buyer accepts these terms.
Patent disclaimer
When buying products from Glycobiotech GmbH it is buyer's responsibility not to infringe the claims of any patents worldwide covering the product itself or its use in combination with other products or processes.
Miscellaneous
The Amtsgericht Bad Segeberg is accepted as being in charge of any litigation according to German or European law (whatever is applicable) arising from buying our products.
Stability
All our reagents are tested to be stable at ambient and elevated temperature (up to 7 days at 30°C). Therefore, we ship our reagents without cooling. If not stated otherwise on our product data sheets, store the reagents after delivery for up to 4 weeks at 4 °C. For longer storage freeze below -20 °C. Samples which must not be frozen are labelled accordingly on the respective product data sheet.
